Terms of Service

These Terms govern your use of the Orchid Horizon Personal Assistant (“OHPA”) beta service provided by Orchid Horizon Limited (NZBN 9429053317568, GST registered). By paying for, accessing, or using OHPA you agree to these Terms.
1. About this service
OHPA is a configuration service that uses your intake answers to set up a personal AI assistant for you. The intake site at this URL collects the information we need; we then build and deliver your configured assistant separately.
OHPA is currently in private beta. The service is invitation-only, limited in scope, and may change without notice while we improve it.
2. Third-party platforms
OHPA is built on top of, and depends on, third-party platforms that we do not own or control. In particular, the assistant we configure for you runs on Anthropic's Claude platform, and the intake site is hosted by Vercel and uses Resend for email delivery.
You acknowledge that:
- We supply the OHPA configuration (the “plugin”) only. We do not supply Claude, Anthropic, Vercel, Resend, or any other third-party platform OHPA may run on or connect to;
- Those third parties may, at any time and without notice to us, change their features, pricing, terms of service, availability, model behaviour, output quality, rate limits, regional access, or discontinue any product or service entirely;
- We are not responsible or liable for any change, fault, outage, policy update, content moderation decision, or termination by any third-party platform, even if it affects your ability to use OHPA;
- Your use of any third-party platform is governed by that platform's own terms and privacy policy, which you must comply with separately. We recommend you review them.
If a third-party platform change makes part of OHPA unworkable, we will tell you and try to find a reasonable workaround, but we are not obliged to provide a refund or replacement service for changes outside our control. Your statutory rights under the Consumer Guarantees Act 1993 are not affected by this clause.
3. Eligibility
You must be at least 18 years old and able to enter into a binding contract under New Zealand law. You agree the information you provide is true and accurate to the best of your knowledge.
4. Beta access and limits
Because OHPA is in beta:
- The service is provided on an “as is” and “as available” basis, and may have bugs, limitations, or downtime;
- Features may change, be removed, or be replaced without notice;
- We may suspend or end your access if you breach these Terms or the Beta Agreement, or if continuing the beta becomes impractical.

5. Payment
OHPA beta access is a one-off payment between NZ$99 and NZ$150, inclusive of GST, as agreed with you in your invitation. Payment is due before we begin configuring your assistant.
We will provide a GST invoice on request.
6. Refunds
Beta payments are non-refundable for change of mind. Once you have submitted your intake answers, we begin work on your configuration and the service is treated as commenced.
Nothing in these Terms limits your rights under the Consumer Guarantees Act 1993. If we fail to provide the service, or if it materially fails to meet a consumer guarantee, you remain entitled to a remedy under that Act, which may include a refund.
7. Your responsibilities
You agree:
- Not to share your access password or beta materials with anyone outside the beta programme;
- Not to copy, reverse engineer, resell, or attempt to circumvent OHPA;
- To use OHPA only for lawful purposes and in line with these Terms.
8. Intellectual property
OHPA, the intake form, the brand, and all related materials remain the property of Orchid Horizon Limited. Your intake answers remain yours; you grant us a limited licence to use them solely to deliver and improve the service.
9. Privacy
Our handling of your personal information is governed by our Privacy Policy, which forms part of these Terms.
10. Liability
To the fullest extent permitted by law, and except for liability we cannot exclude (including under the Consumer Guarantees Act 1993, Fair Trading Act 1986, or for fraud, gross negligence, or wilful misconduct):
- We are not liable for indirect, consequential, or special losses, including loss of profit, loss of data, or business interruption;
- Our total liability to you for any claim relating to OHPA is capped at the amount you paid us for beta access.
Where you are a consumer under the Consumer Guarantees Act, those rights apply unmodified.
11. Suspension and termination
You may stop using OHPA at any time. We may suspend or end your access if you breach these Terms or the Beta Agreement. On termination we will delete your intake data in line with our Privacy Policy.
12. Changes
We may update these Terms during the beta. We will email beta testers about material changes. Continuing to use OHPA after a change means you accept the updated Terms.
13. Governing law
These Terms are governed by New Zealand law. Any dispute will be dealt with by the New Zealand courts.
